Terms of Service

1. Acceptance of Terms

By accessing or using Sovrio (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including registered account holders, team members, and visitors.

2. Description of Service

Sovrio is a privacy-first QR code management and redirect analytics platform. The Service allows you to:

  • Create and manage dynamic QR codes with updatable destinations
  • Track scan analytics with configurable privacy levels
  • Integrate via RESTful API and webhooks
  • Manage teams with role-based access control

All data processing and storage takes place within the European Union.

3. Account Registration & Responsibility

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorised use of your account. Sovrio is not liable for any loss arising from unauthorised access to your account.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Redirect to malicious, illegal, or deceptive content
  • Distribute malware, phishing, or spam via QR codes
  • Violate any applicable laws or regulations
  • Attempt to circumvent rate limits, access controls, or security measures
  • Infringe upon the intellectual property rights of others

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

5. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Sovrio and protected by international copyright, trademark, and other intellectual property laws.

You retain all rights to the content you upload to or create through the Service, including QR code configurations and destination URLs.

6. Data Processing & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect personal data.

If you process personal data through the Service (e.g. scan analytics with IP logging enabled), you act as the data controller. Our Data Processing Agreement (DPA) governs the relationship between controller and processor.

All data is processed and stored exclusively within the European Union on ISO 27001 certified infrastructure.

7. Payment & Billing

New accounts receive a 14-day free trial of the Professional plan. After the trial period, you may subscribe to a paid plan or downgrade to the free Starter plan.

Paid subscriptions are billed monthly or annually via Stripe. All prices are in euros and exclusive of VAT where applicable. You may cancel your subscription at any time; access continues until the end of the current billing period.

We reserve the right to change pricing with 30 days' prior notice. Price changes do not affect the current billing period.

8. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted or error-free operation.

Planned maintenance windows will be communicated in advance where possible. We are not liable for any downtime or service interruptions caused by factors beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sovrio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to the Service shall not exceed the amount paid by you to Sovrio in the twelve (12) months preceding the claim.

10. Termination

You may terminate your account at any time through your account settings. Upon termination, your data will be deleted in accordance with our data retention policy.

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine is harmful to other users or the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

If you are a consumer within the European Union, you may also invoke the mandatory consumer protection provisions of your country of residence.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on the Service at least 30 days before they take effect.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
